Regulation on the Issuance, Placement, and Circulation of Currency-Denominated Bonds Enters into Force

The Ministry of Justice has registered an order of the Director of the National Agency of Prospective Projects approving the Regulation on the Procedure for the Issuance, Placement, Circulation, and Redemption of Bonds Denominated in Foreign Currency, within the framework of the special legal regime "Regulatory Sandbox" in the capital market sphere (registration No. 3826 of 29 April 2026).

The document was developed in implementation of Presidential Decree No. PF-254 of 18 December 2025, which granted local issuers the right to issue corporate bonds in foreign currency.

In accordance with this Regulation:

Currency-denominated bonds are issue-grade debt securities whose nominal value and coupon income are expressed in foreign currency. They certify the holder's right to receive from the issuer, within the established term, the nominal value of the bond as well as the stipulated income.

  • The nominal value of currency-denominated bonds is set at no less than one unit of foreign currency. Income is determined as a percentage of the nominal value.
  • Issuers are granted the right to purchase foreign currency in the volumes necessary for the full performance of obligations and payment of income on the bonds.
  • The total volume of a single issue and the outstanding balance of previously placed bonds in circulation of a single issuer must not exceed the equivalent of USD 50 million.
  • The issuance of unsecured currency-denominated bonds is permitted within the limits of the issuer's own capital. If this volume is exceeded, the issuer is obliged to provide collateral for the excess portion (with the exception of certain banks holding a high credit rating).
  • Real estate, cash, a bank guarantee, or an insurance policy may serve as collateral. Real estate is subject to mandatory appraisal at market value and is accepted as collateral at no more than 75% of its assessed value. The share of real estate must not exceed 50% of the total collateral.
  • The placement of bonds is carried out in accordance with the rules of the stock exchange: in the case of an open subscription — at least 50% of the volume; in the case of a closed subscription — 100%.

These provisions are aimed at ensuring transparency in the currency-denominated bond market, strengthening financial stability, and protecting the interests of investors.
